Help your buyers make offers they can actually finance

We work with M&A advisors and business brokers to pressure-test buyer capacity and deal structure earlier — before financing becomes the reason a transaction falls apart. That means understanding what the business can support, how much cash the buyer needs and whether the proposed structure is likely to survive lender underwriting.

Most of the seller’s proceeds depend on the buyer getting financed

76–89%

of the purchase price was paid in cash at close in Q4 2025 — senior debt plus buyer equity. Most of a seller’s proceeds depend on the buyer’s financing.

What a financing review answers

A better answer than “the buyer says they have financing”

A buyer can have strong credit, plenty of capital and even a lender relationship and still propose a structure that will not get approved. We look at the actual deal.

  1. Whether the business supports the proposed debt
  2. How much leverage may be available
  3. The equity the buyer will likely need
  4. Whether seller financing is likely to be required, and on what terms
  5. Which financing route fits
  6. Whether the buyer’s profile fits the deal

How we work alongside advisors

Help buyers make financeable offers

The earlier the financing gets pressure-tested, the easier it is to fix problems.

The same survey reports that seller financing remains a common tool to bridge valuation gaps. We model the note a senior lender will accept alongside it, so a bridge proposed at the LOI survives underwriting.

Support that respects your client relationship

We handle the financing side while working alongside the broker, advisor, attorney, accountant and other professionals already involved.

How it works

Three steps with an advisor

  1. Send us the deal and buyer

Basic financials, proposed structure and buyer profile, anonymized if you prefer.

  2. We pressure-test the financing

What the business supports, what the buyer can bring and which routes fit, following the same process we run for every deal.

  3. We work the financing

If the deal makes sense, we work directly with the buyer while keeping the advisor involved.

The full range of financing solutions is available to your buyers, from SBA and conventional debt to private credit and structured capital.
